These Terms and Conditions (“Terms”) shall govern the use of Interface (as defined below) and the goods and services provided by PAC Technologies LLC (“PAC”), including any purchases of hardware from PAC, to or by the entity or person accessing such website and/or ordering such services and/or purchases (“Customer”). These Terms may be changed from time to time by PAC; updated Terms shall apply to all use and orders taking place after the date that the Terms are made available through PAC’s website, applications, or other electronic interfaces with Customer. PAC provides a personalized subscription service that allows our members to access Near Infrared NIR calibrations ("PAC content") accessed through PAC’s cloud portal to certain Internet-connected handheld NIRs, and other devices ("PAC ready devices"). These Terms of Use govern your use of our service. As used in these Terms of Use, "PAC service", "our service" or "the service" means the personalized service provided by PAC for discovering and watching PAC content, including all features and functionalities, recommendations and reviews, the website, and user interfaces, as well as all content and software associated with our service.
INFORMATION; AVAILABILITY. The information and data provided on or through this website, application or other electronic interface (“Interface”) shall not be relied on for any specific purpose and no representation or warranty is given in regard to its accuracy or completeness. This Interface should not be considered error-free or as a comprehensive source of all information. Specifications and descriptions of products or services described or depicted on the Interface are subject to change at any time without notice. Any product or service referenced in the PAC electronic systems, including this Interface, does not constitute an offer to sell or supply that product or service.
LINKS. This Interface, and PAC’s electronic systems and other services may contain links to third-party web sites or services that are not owned or controlled by PAC. PAC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. Customer further acknowledge and agree that PAC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
INTELLECTUAL PROPERTY. Copyright, trademark, patent, and other applicable laws protect the information, data, services, goods and other materials (“Materials”) appearing on or related to this Interface or otherwise provided to Customer. Except as expressly permitted by law, no use of these Materials may be made without express written permission from PAC. Customer shall not decompile, reverse engineer, or take other similar steps to access the Materials outside of what is provided to Customer by PAC. The coding, names, trademarks, service marks, and logos of PAC appearing on or through this Interface may not be used in any capacity, including but not limited to indicating PAC’s affiliation with Customer or any product or service, without express written permission of PAC. Nothing contained on the Interface should be construed as granting, by implication, estoppel, waiver, or otherwise, any license or right of use to any intellectual property of PAC, including any coding, algorithms, calibrations or other inter-workings of the Materials and the systems supporting the same, without the express written permission of PAC or the third-party owner, if any. This Interface may contain other proprietary notices and copyright information, the terms of which must be observed and followed.
TERMINATION. PAC may terminate or suspend access to the Interface and its services and data immediately, without prior notice or liability, for any reason whatsoever, including without limitation if Customer breaches these Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
PRICING AND CHARGES. Prices and other charges to be charged for goods or services shall be only as quoted to the Customer and are due at time order is placed except to the extent otherwise agreed between PAC and Customer in a signed agreement. Cancellation of goods or services when PAC has already begun performance will incur an additional charge as set by PAC from time to time in its reasonable discretion.
MEMBERSHIP Your PAC membership will continue month-to-month until terminated. To use the PAC service, you must have Internet access and a PAC ready device and provide us with one or more Payment Methods. "Payment Method" means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. Unless you cancel your membership before your monthly billing date, you authorize us to charge your next month's membership fee to your Payment Method (see "Cancellation" below).
We may offer several membership plans, including special promotional plans or memberships offered by third parties in conjunction with the provision of their own products and services. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your PAC membership by visiting our website and clicking on the "Account" link available at the top of the pages of the PAC website under your profile name.
FREE TRIALSYour PAC membership may start with a free trial. The free trial period of your membership lasts for one month, or as otherwise specified during sign-up and is intended to allow new members and certain former members to try the service. Free trial eligibility is determined by PAC at its sole discretion, and we may limit eligibility or duration to prevent free trial abuse. We reserve the right to revoke the free trial and put your account on hold if we determine that you are not eligible. Members of households with an existing or recent PAC membership are not eligible.
We may use information such as device ID, method of payment or an account email address used with an existing or recent PAC membership to determine eligibility. For combinations with other offers, restrictions may apply. We will charge your Payment Method for your monthly membership fee at the end of the free trial period unless you cancel your membership prior to the end of the free trial period. To view the monthly membership price and end date of your free trial period, visit our website and click the "Billing details" link on the "Account" page.
BILLING AND CANCELLATION
BILLING CYCLE The membership fee for the PAC service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged monthly to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your membership. In some cases, your payment date may change, for example if your Payment Method has not successfully settled or if your paid membership began on a day not contained in a given month. Visit our website and click on the "Billing details" link on the "Account" page to see your next payment date.
PAYMENT METHODSTo use the PAC service you must provide one or more Payment Methods. You can update your Payment Methods by going to the "Account" page. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s). You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your Payment Method service provider for details.
CANCELLATION You can cancel your PAC membership at any time, and you will continue to have access to the PAC service through the end of your monthly billing period. To the extent permitted by the applicable law, payments are non-refundable, and we do not provide refunds or credits for any partial-month membership periods or unwatched PAC content. To cancel, go to the "Account" page and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. To see when your account will close, click "Billing details" on the "Account" page. If you signed up for PAC using your account with a third party as a Payment Method and wish to cancel your PAC membership, you may need to do so through such third party, for example by visiting your account with the applicable third party and turning off auto-renew or unsubscribing from the PAC service through that third party. You may also find billing information about your PAC membership by visiting your account with the applicable third party.
CHANGES TO PRICE AND SERVICE PLANS. We may change our subscription plans and the price of our service from time to time; however, any price changes or changes to our subscription plans will apply to you no earlier than 30 days following notice to you. 4. PAC Service 4.1. You must be 18 years of age, or the age of majority in your province, territory, or country, to become a member of the PAC service. Minors may only use the service under the supervision of an adult.
Testing; Reports. Any testing results communicated to Customer are specific to the samples provided and tested. The accuracy and reliability of the results is strictly dependent on how well procedures for providing samples are followed by Customer. PAC will analyze testing information submitted by Customer in accordance with PAC’s standard procedures. PAC assumes no other responsibility for the accuracy of such information and shall not be liable if reliance on such information results in incorrect conclusions or results, except to the extent of a failure of PAC to comply with its standard procedures. Reports may be withheld from release unless payment on past and current invoices is timely received.
FORCE MAJEURE. PAC shall not be responsible or liable to the Customer for any failure or delays in goods or services which resulted from conditions or events beyond the reasonable control of PAC. Causes shall include, but not limited to acts of God, natural disasters, delays from traffic or transportation, third party delivery services, intervention from government authority, health and pandemic issues, shortage of supplies/services from routine vendors or any other causes beyond our control.
DISCLAIMER.
Services. With respect to its services PAC makes no warranties or representations, whether express or implied or regarding its analysis, reporting and other services, its electronic systems, marketing materials or otherwise except to the extent expressly stated in an agreement between PAC and Customer that is hand-signed. The information provided is published in good faith and for general information purposes. PAC does not guarantee the completeness, reliability and accuracy of any information and shall not be liable for any losses and damages associated with the use of the same.
Goods. Certain goods, including hardware related to testing and sampling, may be made available for purchase from PAC through the Interface. PAC is not the manufacturer of any such hardware and, as such, such goods are provided on an “AS IS” basis, without any representation or warranty or other liability of PAC to the Customer. Any product warranty or similar issues shall be addressed by the Customer exclusively to the manufacturer of such hardware.
Interface. PAC specifically disclaims the implied warranty fitness for a particular purpose in connection any goods and services and Customer use. All goods and content on or accessible from this Interface is provided “AS IS” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The use of any hardware purchased, and this Interface is at your own risk. PAC does not warrant that the content available on this Interface or the Interface itself is free of errors.
LIMITATION OF LIABILITY. To the extent of an alleged defect in the services provided by PAC, PAC shall only be responsible for conducting the allegedly defective service at its own cost and shall not be responsible for any further liabilities whatsoever. Any claims for alleged defects in services, breach of contract, negligence or any claim whatsoever shall be deemed waived unless a written notice is submitted within thirty days (30) of service. Any liability of PAC to Customer or any third party shall be limited to the cost charged to Customer for the service claimed to be related to the alleged liability. In no event shall PAC be liable to Customer for any exemplary, punitive, indirect, incidental, special, or consequential (including lost expenses or profits) damages arising from or in any way connected with its performance or failure to perform, even if the parties have knowledge of the possibility of such damages.
MISCELLANEOUS. PAC and Customer may have other agreements in place. In the event that there exists a conflict between any term, condition, or provision contained within these Terms and any term, condition, or provision contained within a hand-signed agreement, such agreement shall control. In the event that there exists a conflict between any term, condition, or provision contained within these Terms and any term, condition, or provision contained within any other agreement, these Terms shall control. PAC specifically rejects all additional, inconsistent, or conflicting terms, whether printed or otherwise set forth in any purchase order or other communication from the Customer to PAC. No waiver by PAC of any provision, term, or condition hereof or of any breach by or obligation of the Customer hereunder shall constitute a waiver of such provision, term, or condition on any other occasion or a waiver of any other breach by or obligation of the Customer. Should suit be brought with respect to these Terms, the services provided by PAC or any other agreement between Customer and PAC, if PAC prevails, it shall be entitled to recover its reasonable attorneys’ fees and costs.
APPLICABLE LAW: Legal matters arising from sales by PAC for Customer will be construed and interpreted in accordance with the laws for the State of California.n.
